6.1 通用要求
General Requirements
作为对产品的支持,供应商应向CETCA提供培训教材的相关数据,且提供的数据必须符合ATA规范100的要求。
As a support for the product, Supplier shall provide the data regarding training materials for CETCA, and the data shall be subject to ATA Specifications 100.

DATA SUPPORT FOR TRAINING MATERIALS

6.1 通用要求

General Requirements

作为对产品的支持,供应商应向CETCA提供培训教材的相关数据,且提供的数据必须符合ATA规范100的要求。

As a support for the product, Supplier shall provide the data regarding training materials for CETCA, and the data shall be subject to ATA Specifications 100.

Supplier shall offer CETCA with work logic, performance numbers etc.



6.2.2 培训教材形式

Forms for training materials

供应商应为CETCA提供培训课程所需的所有教材的数据。

Supplier shall provide CETCA with data of all the training materials required for training courses.

供应商应以双方同意的数字形式向CETCA提供培训教材的数据,含需要的图片、图表、FLASH动画和视频等素材的原始拷贝。

The data for training materials shall be supplied in the agreed digital form by both Parties, including original copies of the needed images, tables, FLASH animations and vedios.

供应商应负责根据产品的构型为CETCA更新上述教材所需的数据,直到首件交付后的第三(3)年为止。

Supplier shall be responsible for updating the data mentioned above for CETCA in accordance with the product configuration by the end of the third (3) year upon the delivery of the first products.

7.技术出版物

TECHNICAL PUBLICATIONS

7.1 通用要求

General Requirements

在项目的整个支援周期内,供应商应向CETCA提供必要的技术出版物、源数据和修订服务,以维持产品服务、维修和大修。

During the whole support period of the project, Supplier shall provide necessary technical publications, source data and revision service to CETCA to support the service, repair and overhaul of its products. 供应商应根据具体情况,确保所有的技术出版物和数据都与CETCA和适航当局的最新设计状态和相应要求保持一致。

Supplier shall, as the case may be, ensure that all the technical publications and data are consistent with the latest design and corresponding requirements of CETCA and Airworthiness Authorities.

供应商向CETCA提供正式的技术出版物数据模块和源数据后,供应商应为产品和技术文件之间的差异产生的后果承担责任。

Supplier shall be liable for the consequences caused by the differences between product(s) and technical documentation after providing data modules of formal technical publications and source data to Buyer.

7.2 格式

Format

供应商应向CETCA提供技术出版物的研发、发布和修订,格式为PDF,符合ATA规范2200最新版本要求。

Supplier shall provide preparation, publication and modification of technical publications in PDF format as required by the latest ATA specifications 2200 version for CETCA.

7.3 要求

Requirements

供应商应提供CETCA中文和英文两个版本的部件维修手册(CMM),CMM的格式和内容必须符合ATA2200最新版规范,CMM的交付时间以附件III 工作说明中的规定为准。

Supplier shall provide for CETCA with CMM both in Chinese and English, with its format and content as required by the latest ATA specifications 2200 version and the delivery time as stipulated in Annex III Statement of Work.

供应商所提供的其它技术出版物的数据模块和源数据参照附件III 工作说明附录Ⅱ-3:

With respect of the data module and source data of other TECHNICAL PUBLICATIONS offered by Supplier, refer to Appendix Ⅱ-3 of Annex III.

供应商应负责为CETCA免费编制、发布、更新和分发供应商的技术出版物,以支持其产品的运行和维修。

Supplier shall be responsible for preparing, publishing, updating and distributing technical publications free of charge to support the operations and maintenance of its products.

7.4 交付

Delivery

供应商应确保通过航空邮件、在线提供或其他方式,将技术出版物以纸质版、电子版及双方约定的其它方式及时交付给CETCA。

Supplier shall ensure to timely provide the print edition, electronic version or other versions of technical publications agreed by both Parties to CETCA through airmail, online provision or other means.交付时,供应商应向CETCA提供一份交付清单通知。

Supplier shall provide CETCA with a notice for delivery list upon delivery.

7.5 验证

Verification

供应商应确保技术出版物的所有程序(例如安装/拆换、检验/检查、计划维修任务等)及其源数据已通过实物安装进行验证,并确保交付给CETCA的技术出版物和源数据符合当前在役飞机的构型,CETCA保留验证技术出版物和源数据的权利。

Supplier shall guarantee that all the programs (e.g. installation/removal, inspection/check, scheduled maintenance task etc.) and their source data have been verified through material installations, and that the technical publications and source data delivered to CETCA conform to the current configuration of in-service aircraft. CETCA shall reserve the rights of technical publications and source data.

8 服务通告(SB)和适航指令(AD)

SERVICE BULLETINS (SB) AND AIRWORTHINESS DIRECTIVES (AD)

8.1 通用要求

General Requirements

对于因供应商责任(包括产品的设计、制造缺陷)而发出的服务通告和适航指令,供应商应承担完成服务通告和适航指令的一切费用,如需对产品进行返修,供应商应向采购商免费提供充足的产品周转件。

Supplier shall cover all the cost for fulfilling the Service Bulletins and Airworthiness Directives caused by Supplier responsibilities (including design and manufacturing defect of its products) and provide adequate rotables free of charge for Purchaser if rework is required for its products.

8.2 服务通告支持

Service Bulletin Support

如果因供应商单方面责任造成产品不合格,供应商应对已停产的产品保持继续支援的的能力。

Supplier shall maintain its support capacity for product out-of-production if the unqualified products are caused by Supplier′s responsibility alone.如果未能提供上述支援,供应商应将产品改装为当前构型,或者按照供应商和CETCA的约定免费提供替代产品。

If Supplier fails to provide the support mentioned above, Supplier shall modify the products into current configuration or provide alternative products for free as agreed with CETCA.

对于不是由供应商单方面责任引起的服务通报和适航指令,供应商应进行改装。 条款和费用由双方协商决定。

For Service Bulletins and Airworthiness Directives caused not due to Supplier′s responsibilities alone, Supplier shall make the modifications.The terms and cost shall be determined by both Parties through negotiation.

供应商应在CETCA规定的时间内,提供工作计划说明其执行服务通告所需的全部工作。

Supplier shall provide Statement of Work to explain all required work for performing Service Bulletins within specified time by CETCA.

8.3 服务通告/适航指令执行清单

Service Bulletin and Airworthiness Directive List

当供应商负责执行CETCA要求的基于服务通告的适航指令(AD)时,供应商应在产品生产中执行所要求的改装,并保留改装记录,并及时通知CETCA。

If Supplier is responsible for performing Service Bulletin and Airworthiness Directive required by CETCA, Supplier shall carry out the required modifications during production, save modification record and timely inform CETCA.

10. 修理

REPAIR

10.1 总则

General

供应商建立维修CPPT的机构或授权其他可对CPPT进行修理的机构,必须事先获得CETCA同意,且供应商维修许可证的取得必须获得CETCA的许可和授权。

Supplier shall secure the agreement of CETCA in advance if Supplier intends to set up CPPT repair depot or authorizes other depots to repair CPPT. And for getting the maintenance certificate, Supplier shall obtain the permit and authorization from CETCA.

10.2 返修时间

Maintenance Time

供应商及其授权的修理站承诺尽量缩短收到故障产品和将修理好的产品从供应商处发出的时间,其中电子类产品的修理周期不应超过10日历日,机械产品的修理周期不应超过15日历日。

Supplier and its authorized repair depot shall promise to reduce the time from getting the malfunctioned products to the issuing of the repaired products from Supplier, among which the repair time for electronic products shall be within 10 calendar days and that for mechanical products shall not exceed 15 calendar days.

10.4 修理保证期

Maintenance Warranty Period

供应商对超出保证期的产品进行付费修理或改型后,重新给该产品18个月的保证期。

Supplier shall maintain another 18-month warranty period for product beyond the warranty period after Supplier pays to repair or modify the product.

10.5 修理厂

Maintenance Agency

如果CETCA需要建立产品修理能力,供应商应向CETCA给予支持,支持包括但不限于提供技术和物流信息、工装、修理设施。

If CETCA is in need of building maintenance capacity, Supplier shall provide support including but not limited to technical information, logistics information, uniforms and maintenance facilities for CETCA.双方可以签署协议约定以上支持的内容和条件。

Both Parties hereto sign a contract based upon the supported contents and conditions above.

10.6 修理成本

Maintenance cost

供应商应根据修理的范围进行报价,同时修理费用应具有市场竞争力。

Supplier shall make offer in accordance with the coverage of repair, while the maintenance cost shall have market competitiveness.

10.7 无故障发现成本

Cost for Observing no Defect

如果供应商的产品返回供应商的修理厂,且未发现故障,供应商应执行附录E中规定的无故障发现策略。

If Supplier does not observe any defect on its products returned to the repair depot, Supplier shall perform the strategy of observing no defect as stated in Annex E.

13. 商保和担保

COMMERCIAL GUARANTEE AND WARRANTY

13.1 标准商保

Standard guarantee

13.1.1 商保范围

Coverage of warranty:

产品交付时供应商向CETCA提供商保,商保范围如下:

Supplier shall provide warranty for CETCA upon delivery. The coverage of warranty shall include:

a) 符合订单的规定;

in compliance with the statement in the order;

b) 材料、工艺、设计和制造过程无缺陷;

observing no defect on materials, technology, design and manufacturing;

c) 符合其预期用途。

13.1.2 商保的可执行性

Enforceability of warranty

商保条款适用于CETCA和对产品拥有所有权的任何客户。

The warranty terms shall apply to CETCA and any customer with the product ownership. 根据销售协议、交换协议、共享协议或租赁协议,对产品拥有所有权的任何客户将可充分执行本协议中的任何未到期的商保条款。

According to sales agreement, exchange agreement, share agreement and lease agreement, any customer with the product ownership shall fully perform any undue commercial terms hereof.

13.1.3.1 产品的商保

Warranty of Products

产品交付给CETCA后,在商保期内,如果有产品不满足13.1.1条“商保范围”中列出的商保条款,供应商将提供13.1.4条“救济”中列出的救济措施。

After delivery to CETCA, within the warranty period, if the product does not comply with the terms stated in Article 13.1.1 “Coverage of warranty”, Supplier shall provide remedy stated in Article 13.1.4 “Remedy”.

产品交付给买方后,在商保期内,如果有产品不满足13.1.1条“商保范围”中列出的商保条款,供应商将提供13.1.4条“救济”中列出的救济措施。

After delivery to Buyer, within the warranty period, if the product does not comply with the terms stated in Article 13.1.1 “Coverage of warranty”, Supplier shall provide remedy stated in Article 13.1.4 “Remedy”.

a) 制造并安装到飞机上的产品的商保期,为安装该产品的飞机交付航空公司后的四十八(48)个月。

Warranty period for the products manufactured and installed into the aircraft is forty eight (48) months from the date of delivery of aircraft installed with the products to the airline.

b) 航材备件的商保期,为航材由CETCA交付客户后的四十八(48)个月。

Warranty period for the spare is forty eight (48) months from the date of delivery of spares to the Customer.

13.1.3.2 修理或大修的商保

Warranty of Repair and Overhaul

经过供应商或其授权修理站修理或大修后的产品的商保期,为修理或大修完成之日起的十八(18)个月,或者为标准商保期的剩余期限,以较长的时间为准。

The periods of warranty for the parts repaired or overhauled by Supplier or its authorized repair depot shall be eighteen (18) months from the date of delivery of the repaired or overhauled parts or the remaining periods of the warranty (whichever comes first).

13.1.4 救济

Remedy

供应商应免费提供下列工作:供应商的服务通告(SB)、硬件改装、软件升级和任何纠正缺陷所需的工作;或提供免费的更换产品。

Supplier shall provide the following services for free: Supplier′s Service Bulletins (SB), modification of hardware, updating of software and any required services for correcting defects; or provide free replacements.

13.2 内场维修商保

Warranty of in-site repaired parts

根据13.1条“标准商保”的条款和质量审计,根据CETCA的要求,供应商同意CETCA在CETCA授权的工厂修理有缺陷的产品。

Compliance with terms and quality auditing stated in Article 13.1 “Standard guarantee”, Supplier shall agree CETCA to repair defect products in repair depot authorized by CETCA.

对于所有根据本条款进行的修理,供应商因按照现行价格、商保人工费率对CETCA给予人工成本加上实际材料成本的信用补偿。

With respect of all repair in accordance with the terms hereof, Supplier shall pay credit indemnify including labor cost and actual material cost to CETCA according to the current price and labor rate of warranty。CETCA应有权使用该信用补偿从供应商购买产品或服务。

CETCA shall be entitle to use the credit indemnify to buy Supplier′s products and services.

供应商同意,根据CETCA支付给直接履行劳务的员工的平均直接小时人工费率确定商保人工费率。

Supplier agrees to determine the labor rate of warranty based on the average labor rate per hour paid from CETCA to workers who directly perform services.平均小时费率还应包括与产品修理直接相关的机械员、技工和检验员的费率。

The average labor rate per hour includes the labor cost of mechanist, technician and inspector with respect to repair of products.
